1. Acceptance of Terms

By accessing or using EdgeSync ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. EdgeSync is provided by Npact ("we," "us," or "our").

2. Description of Service

EdgeSync is a middleware integration platform designed to synchronize financial data between third-party platforms, specifically Bill.com and Blackbaud Financial Edge NXT. We provide tools to map vendors, accounts, and projects, and to facilitate the transfer of invoice and payment data.

3. Beta Services Disclaimer

The Service is currently in a "Beta" release. You acknowledge that the Service may contain bugs, errors, or inaccuracies and may not be fully stable.

YOU ASSUME ALL RISKS AND ALL COSTS ASSOCIATED WITH YOUR USE OF THE SERVICE. We provide the Beta Service "AS IS" and "AS AVAILABLE" without warranties of any kind. We are not liable for any data loss, corruption, or accounting errors resulting from the use of the Beta Service.

4. Third-Party Services

Our Service requires access to your accounts with third-party providers (e.g., Bill.com, Blackbaud). By connecting these accounts, you grant us permission to access, read, and write data to these services on your behalf.

We are not affiliated with, endorsed by, or sponsored by Bill.com or Blackbaud. We are not responsible for the availability, accuracy, or performance of these third-party services. If their API changes or experiences downtime, EdgeSync functionality may be interrupted.

5. Data Accuracy and Responsibility

EdgeSync is a data transport tool, not an accounting firm or financial advisor.

You are solely responsible for:

  • The accuracy of the mapping rules you configure (e.g., Vendor mapping, GL Account mapping).
  • Reviewing the data imported into Financial Edge before posting to your General Ledger.
  • Ensuring that your use of the Service complies with your organization's internal financial controls and audit requirements.

We explicitly disclaim liability for any accounting errors, missed payments, duplicate payments, or incorrect General Ledger entries caused by user configuration or data entry.

6. Account Security

You are responsible for maintaining the confidentiality of your login credentials. You notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account security.

7. Fees and Payment

Certain aspects of the Service may be provided for a fee. You agree to pay all applicable fees as described on our pricing page or in your service agreement. We reserve the right to change our prices at any time, with notice provided to you before the next billing cycle.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EDGESYNC, ITS AFFILIATES, OR THEIR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.
